Research & Evaluation Access Terms

1. Limited Licence

PoseIQ grants authorized users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the supplied PoseIQ configuration solely for the agreed research, evaluation, pilot, or collaboration purpose and period. Access is provided by licence only and does not transfer ownership of PoseIQ technology or intellectual property.

2. PoseIQ Intellectual Property

Arvinnovate Engineering Solutions Pty Ltd trading as PoseIQ retains all rights, title, and interest in:

• The PoseIQ platform, software, source code, algorithms, models, architecture, processing methods, interfaces, visualisations, documentation, and technical know-how.
• PoseIQ software implementations, configurations, technical workflows, features, extensions, and platform improvements created in connection with supporting or evaluating the research use.
• All pre-existing and subsequently developed PoseIQ technology and intellectual property.

3. Research Collaborator Intellectual Property

The research collaborator retains all rights, title, and interest in:

• Their study, participant, and research data. PoseIQ does not acquire ownership of such data merely by processing it.
• Their pre-existing intellectual property, study designs, research protocols, and independently developed scientific methods.
• Their independently created scientific analyses, discoveries, interpretations, and findings.
• Their academic papers, presentations, and publications.

4. Intellectual Property Boundary

Each party retains ownership of its pre-existing intellectual property. PoseIQ retains ownership of PoseIQ software implementations, configurations, features, technical workflows, extensions, and platform improvements created in connection with the evaluation. This does not transfer ownership of the research collaborator's study design, research protocol, data, pre-existing intellectual property, independently developed scientific methods, analyses, or findings.

Testing, evaluating, validating, using, or requesting changes or features in PoseIQ does not grant the research collaborator any ownership interest in PoseIQ technology or resulting PoseIQ platform developments.

5. Feedback

PoseIQ may use general feedback, observations, feature requests, and technical suggestions provided during the evaluation to develop, improve, and commercialize PoseIQ products and services without creating ownership, royalty, or compensation rights in PoseIQ technology for the providing party.

This does not transfer ownership of the collaborator's confidential information, research data, pre-existing intellectual property, or scientific findings. Confidential information should be identified and handled under any applicable confidentiality arrangement between the parties.

6. Research & Governance Responsibility

The research collaborator remains responsible for applicable ethics approvals, participant consent, research governance, data management, study conduct, scientific interpretation, and determining whether PoseIQ is appropriate for the intended research purpose.

7. Evaluation & Pre-release Software

Research, evaluation, beta, or pre-release PoseIQ functionality may be experimental and may change during evaluation. It is provided on an "as available" basis for the agreed evaluation purpose. Unless explicitly specified otherwise in writing, it is not provided as a medical device, diagnostic tool, treatment recommendation, or clinical decision system.

8. Restrictions & Access

Except where expressly permitted in writing or required by applicable law, users must not copy, redistribute, sublicense, sell, reverse engineer, decompile, extract, reproduce, or attempt to derive PoseIQ source code, models, algorithms, or proprietary technology.

Access credentials, private builds, installers, and research configurations are limited to authorized users and must not be shared with other persons or organizations without PoseIQ's written permission.

9. Additional, Expanded & Commercial Use

The licence applies only to the agreed purpose and period. Additional studies, continued use beyond the agreed period, broader institutional deployment, commercial use, redistribution, integration into another product or service, or other use outside the agreed scope requires a separate written agreement or licence from PoseIQ.

10. No Implied Rights

No intellectual property rights, ownership rights, licences, or permissions are granted by either party except those expressly stated in these terms or separately agreed in writing.

11. Governing Law

Unless otherwise agreed in writing, these terms are governed by the laws of Victoria, Australia.
